Our Terms and Conditions (Last Update 22/11/2024)
1. All estimates/quotes are based on our understanding of your requirements and as per the given time frame. Any changes to the functionality, including micro-improvements, may incur additional costs accordingly. Please ensure and clarify our understanding in an online meeting before accepting this fee.
2. By accepting a quote, you agree to and accept the terms and conditions of Mindesigns. Acceptance can be by email, payment of Initiation, or by signing a quote.
3. Any complexity related to specific tasks must be advised in advance and included in the proposal for costing purposes. We operate in good faith and rely on our clients to disclose the full picture at the time of quotation. Any discrepancy arising due to unclear or misleading requirements may incur additional costs.
4. Clients must ensure we have included all requirements in the quotes/proposals/estimates and that we fully understand their requirements. Clients must provide us with clear guidelines along with the flow or specific details they may require. When such details are not provided, we will proceed with our understanding of the requirements and quote accordingly. At a later stage, if a discrepancy arises, it may lead to additional costs to accommodate the changes. Thus, it is essential that you clarify every aspect of your website development and ensure that you have been quoted on the right requirements.
5. There are limited man-hours allocated to each task, including Project Management and Digital Strategist/Business Analyst. Minor changes may be included within the allocated hours. However, significant changes may incur additional fees. This will be analysed on a case-by-case basis.
6. Any delays at the client’s end may delay the project and proposed timeframes.
7. We have allowed for a single design review for each website page. Any re-work on an already completed task will attract additional charges. Any changes in the design after the design approval will incur additional charges.
8. Any modifications requested during the development or after the Go-Live approval will incur additional charges. All additional work, over and above the estimates, is charged separately. Under no circumstances will Mindesigns be liable for any delays caused by a change in the project brief.
9. Website/application content and all related materials need to be provided to us within the first two weeks of starting the project. Any delays thereafter may delay the project if it goes beyond a reasonable timeframe.
10. Responsive/multi-device compatible web pages are tested on iPhones, android and iPads. If you require testing to be done on any other device, please discuss it in advance.
11. Mindesigns have not allowed for the costs of Plug-ins, server hosting, domain names, pre-designed website templates and cost associated with marketing.
12. Mindesigns takes no responsibility for any open-source products such as WordPress, Open-Source carts, Joomla etc. We suggest you take regular backups to avoid any disruptions.
13. Mindesigns packages in coordination with third-party providers. Changes to the third-party provider’s rules and policies may ultimately affect the services we provide or the terms and conditions herein.
14. The client must recognise that, at times, there may be unforeseen circumstances that will delay the development process, particularly with reference to the integration of third-party software. We will try our best to complete the project as agreed in the proposal. As long as it is within a reasonable period, the client agrees not to penalise us for any genuine delay when every effort to keep the project on the proposed schedule is taken.
15. Mindesigns does its best to recognise the suitability of any 3rd party components; any unforeseen limitations of 3rd party components are beyond our control. Any third-party component purchase costs (such as SSL, Payment gateway, Google Adwords, Plug-in licenses, etc.) are not included in our quotes.
16. Mindesigns does not take responsibility for the performance and operability of purchased website templates. Website templates sometimes have bugs, issues and errors which are beyond our control. Therefore we highly recommend doing sound market research before making a purchase decision.
17. Domain registration/renewal etc., charges are not included as a part of any project/proposal unless mentioned otherwise. If required, a quote for which will be submitted separately and approved by the client.
18. Hosting charges are not included in the quotations unless mentioned otherwise. Mindesigns can organise an appropriate hosting solution if required, a quote for which will be submitted separately and approved by the client.
19. All communications are generally done via email. The client is responsible for keeping us updated with their relevant email addresses or preferred ways of communication.
20. If the Client decides to terminate the project at any time for personal reasons, Mindesigns will be compensated for the work hours invested in the project (this clause does not apply to ongoing digital marketing support).
21. This fee proposal is valid for 30 days from the date of submission.
22. Paid consultations that have been pre-paid and booked are not refundable.
23. Website elements built using a template are not customisable; if customisation is required by the client, additional fees may apply on a case-by-case basis.
24. The deliverables of the project shall be handed over on project completion after the final payments have been made as per the fee proposal. Mindesigns holds the ownership and rights to the content it creates until payments are made in full.
25. If client information or feedback requests are not provided to Mindesigns within 2-4 weeks (this clause does not apply to ongoing digital marketing support), the project may be put on hold. This means the original project completion date will be subject to change. If the Client continues to delay the project beyond a reasonable time, an additional ongoing monthly fee (10% of the project cost) may apply.
26. Any deposit paid towards a project is valid for 12 months from the date of receipt. If the project has not commenced within this period, the deposit will be forfeited, and will neither be refunded nor credited towards any future projects. Extensions may be requested in writing and are subject to approval at our discretion.
27. The prices for our ongoing digital marketing service packages are calculated based on an hourly rate ranging from $120 to $150. The allocated budget for these services will be exhausted in accordance with this hourly rate. Once the budget has been fully utilised, clients have the option to either increase the budget to continue services or wait until the next monthly billing cycle.
28. Monthly backup of website data is only provided to clients that use Mindesigns servers.
29. In the event of a direct conflict between the terms specified in the Fee Proposal and those outlined in these Terms and Conditions, the provisions in the Fee Proposal shall take precedence solely for the matters expressly stated therein. For all other aspects not explicitly addressed in the Fee Proposal, these Terms and Conditions will remain fully enforceable and applicable.
